Second Shareholders' Meeting in Zurich: Swisscom increases dividend to CHF 15 per share

The second Shareholders Meeting of Swisscom AG, held on 30 May 2000 in the Zurich Hallenstadion, was attended by 1,729 shareholders, representing 70.84 percent of shareholder votes. The shareholders approved the annual report, the consolidated financial statements for 1999 and accepted the motion proposed by the Board of Directors to increase the dividend from CHF 11 to CHF 15 per share. After deduction of the 35% withholding tax, a net amount of CHF 9.75 will be paid out on 5 June 2000. The Swisscom dividend totals CHF 1103 million.
The assembly formally approved the members of the Board of Directors and the Executive Board for the 1999 business year. PricewaterhouseCoopers AG, Bern, were elected Auditors and Group Auditors for a further year. A change to the Articles of Incorporation proposed by the Board of Directors concerning the voting procedure at the Shareholders Meeting was also approved. In future it will be possible to vote electronically.
Swisscom shares have been traded on the Zurich and New York bourses since 5 October 1998.
