Bluewin to merge with Swisscom Fixnet

Effective 1 March, 2005, Bluewin AG is to merge with Swisscom Fixnet AG. The Bluewin public limited company will be dissolved but the Bluewin brand will continue to be marketed as part of Swisscom Fixnet's Triple Play strategy. Bluewin's existing organisation will remain in operation, and Urs Schmidig, CEO of Bluewin, will retain his seat on the Executive Board of Swisscom Fixnet AG.

Bluewin AG was founded in May 2000 ahead of the IPO planned at that time. Since then, Bluewin has successfully built and expanded its Internet business. At the end of June the company had a customer base of nearly one million, including 390,000 broadband access customers. Swisscom now believes there is no necessity for an independent company, for example to enter strategic partnerships.

By developing new services (including Bluewin TV, scheduled for launch in 2005), Bluewin has taken charge of key tasks on behalf of Swisscom. The Bluewin brand will be repositioned over the long term as part of Swisscom Fixnet's Triple Play strategy. Triple Play stands for telephony, Internet and television over a single access line.

In future, Bluewin will be managed as a profit centre within Swisscom Fixnet AG. The existing Bluewin organisation will be retained. The management of Bluewin will also remain in place as a profit centre management team. As CEO of Bluewin, Urs Schmidig will continue to sit on the Executive Board of Swisscom Fixnet AG.
