Swisscom to publish the prospectus for the acquisition of PubliGroupe SA on 23 June 2014

On 16 May 2014, Swisscom announced a public takeover bid for PubliGroupe SA and planned to publish the prospectus on 12 June 2014. Swisscom and Tamedia AG jointly released information on 28 May 2014 stating that the two companies had reached an agreement on a joint approach to the directory services market. This resulted in PricewaterhouseCoopers (PwC) having to delay the preparation of the Auditor's Report. The prospectus is therefore expected to be published on 23 June 2014.
Berne, 11 June 2014

On 28 May 2014, Tamedia AG and Swisscom announced that they want to develop directory services together. Due to the new developments, the preparation of the Auditor's Report by PwC has been delayed by a few days. Swisscom is therefore likely to publish the offer on 23 June 2014. As things currently stand, the bid period starts on 8 July 2014 and is set to end at 16.00 (CET) on 5 August 2014. Furthermore, the conditions stipulated in the announcement on 16 May 2014 shall continue to apply.

Swisscom’s takeover of PubliGroupe and the partnership between Swisscom and Tamedia are subject to the approval of the Federal Competition Commission.
